Terms of Service

Last updated: May 22, 2026

1. Acceptance of Terms

By creating an account, accessing the Bekena dashboard, or using the Bekena API, you ("Merchant" or "you") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our AML Policy.

If you are using Bekena on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

If you do not agree to these Terms, do not use our services.

2. Description of Services

Bekena provides a cryptocurrency payment gateway. Our services include:

• Payment invoice creation and management via REST API• Blockchain transaction monitoring and confirmation detection• Webhook delivery for payment events• A merchant dashboard for managing payments and settings• Payouts API for sending cryptocurrency to external wallets• Sandbox environment for integration testing

Bekena is not a cryptocurrency exchange or financial institution. All payments are processed through the Bekena platform and settled to your account balance, from which you may withdraw at any time.

3. Account Registration and KYC

To access the live (production) API, you must complete our KYC (Know Your Customer) process, which includes providing:

• Valid government-issued identity documentation• Business registration or incorporation documents• Information about your business activity and expected transaction volumes

Sandbox access is available without KYC and may be used for integration testing without limitation.

You agree to provide accurate and complete information during registration and to update it if circumstances change. We reserve the right to reject or terminate any account at our discretion.

4. Fees

Bekena's fee structure depends on the payment routing mode determined automatically per transaction:

• Direct Wallet: 0% platform fee. Funds are forwarded directly to your settlement wallet. No conversion takes place.• Smart Conversion: 1% of the confirmed transaction amount. Applied when the platform converts the received cryptocurrency to your preferred settlement asset via THORChain.

Routing mode is determined automatically by the platform based on the customer's IP location and network signals. You do not configure this manually.

Outgoing transfers via the Payouts API are subject to a 1% fee plus applicable blockchain network fees, passed through at cost.

There are no monthly fees, setup fees, or minimum volume requirements for the standard tier. Enterprise pricing is available for merchants processing $500,000+ per month.

Fees may change with 30 days' notice. Continued use after the effective date of a fee change constitutes acceptance.

5. Smart Routing and Jurisdictional Compliance

Bekena operates a Smart Routing system that automatically determines the appropriate payment method for each transaction based on the customer's geographic location and network characteristics.

Smart Conversion — the automated cryptocurrency conversion feature — is available only for customers in jurisdictions where such services are not subject to licensing or authorization requirements under applicable law (including but not limited to the EU Markets in Crypto-Assets Regulation (MiCA) and equivalent regulations in the UK, EEA, and other jurisdictions).

For customers identified as being located in restricted jurisdictions (including the European Union, European Economic Area, and United Kingdom), the platform automatically applies Direct Wallet routing only. No conversion fee is charged for such transactions.

You, as the Merchant, agree that:

• You will not attempt to circumvent the platform's routing logic or misrepresent customer locations• You accept responsibility for ensuring your business operations comply with applicable laws in your jurisdiction• You understand that the platform's routing decisions are automatic and final; Bekena does not manually override routing on a per-transaction basis• You will not market Smart Conversion capabilities to customers in jurisdictions where such services are restricted

Bekena's automatic routing is a technical compliance measure and does not constitute legal advice. You remain independently responsible for your own regulatory compliance.

6. Prohibited Uses

You may not use Bekena for activities including but not limited to:

• Any activity prohibited by applicable law in your jurisdiction or ours• Processing payments for sanctioned entities or OFAC-listed countries• Fraud, money laundering, or financing of terrorism• Ponzi schemes, fraudulent investment programs, or high-yield investment programs• Sale of counterfeit goods, illegal drugs, or controlled substances• Child exploitation material• Unauthorized access to computer systems• Activities designed to deceive consumers

We screen transactions against AML databases. Suspicious activity is reported to relevant authorities as required by law. Accounts found in violation may be suspended immediately.

7. API Usage

API keys are credentials that identify your account. You are responsible for keeping them confidential. Do not share API keys, commit them to public repositories, or expose them in client-side code.

You may not: reverse-engineer our services, use automated scrapers on our dashboard, attempt to access other merchants' data, or exceed reasonable API rate limits in ways that affect other users.

We provide the sandbox environment free of charge for testing. You may not use sandbox data for production purposes or misrepresent test transactions as real.

8. Webhooks and Payment Finality

Bekena delivers webhooks when payment status changes. Webhook delivery is best-effort with automatic retry. You should implement idempotency in your webhook handler to handle duplicate deliveries.

Blockchain transactions are final once confirmed. Bekena does not reverse, cancel, or modify on-chain transactions. If a customer sends payment to an expired invoice address, resolution depends on the specific circumstances and may require you to manually issue a refund.

You are responsible for handling partial payments, overpayments, and late payments in your integration.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BEKENA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. BLOCKCHAIN NETWORKS OPERATE INDEPENDENTLY OF BEKENA, AND WE CANNOT GUARANTEE SETTLEMENT TIMES OR NETWORK AVAILABILITY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEKENA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL BEKENA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS EXCEED THE FEES PAID BY YOU TO BEKENA IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

You may close your account at any time by contacting [email protected]. Termination does not affect your obligation to pay outstanding fees.

We may suspend or terminate your account with immediate effect if: you breach these Terms, we are required to do so by law, your account poses a risk to our platform or other users, or at our sole discretion with 30 days' notice.

Upon termination, your API keys are revoked. Transaction history remains accessible for 90 days post-termination.

12. Governing Law and Disputes

These Terms are governed by applicable international commercial law. Disputes will be resolved through binding arbitration where permitted by applicable law. Class action waiver applies where legally enforceable.

For billing disputes, contact [email protected] within 30 days of the charge. We will work to resolve disputes in good faith before pursuing formal proceedings.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated by email (to your registered address) and by notice on our website at least 30 days before taking effect.

Continued use of our services after the effective date constitutes acceptance of the updated Terms. If you disagree with changes, you must stop using the services and close your account before the effective date.
